Terms of Service

Last updated: [DATE]

1. Acceptance of terms

By creating an account or using Solafino ("the Service"), you agree to these Terms of Service. If you are using the Service on behalf of a company, you confirm you have authority to bind that company to these terms.

2. The Service

Solafino is a retrieval-augmented AI platform that answers technical questions from a maintained library of OEM manuals and from documents you upload, with page-level citations. Answers are generated by AI and are provided to assist your team — they are not a substitute for professional engineering judgment.

3. Accounts

You are responsible for keeping your login credentials and API keys secure, and for all activity under your account. Tell us immediately at [email protected] if you suspect unauthorized access.

4. Plans, billing & cancellation

Paid plans (Pro, Team, Enterprise) are billed in advance on a recurring basis through our payment provider, acting as merchant of record. You can cancel anytime from your account settings; cancellation takes effect at the end of the current billing period. See our Refund Policy for details on refunds and chargebacks.

5. Your content & documents

You retain all ownership rights to the documents you upload. You grant us a limited license to process, index, and store those documents solely to operate the Service for your account — including generating embeddings and retrieval indexes. We do not use your documents to train models shared with other customers, and we do not sell your data.

6. Acceptable use

You agree not to:

  • Upload content you do not have the rights to use (e.g. pirated OEM manuals, another company's confidential documents without authorization).
  • Upload illegal, malicious, or infringing content.
  • Attempt to probe, scan, or breach the security of the Service, or access another tenant's data.
  • Use the Service to build a directly competing product by systematically scraping our maintained OEM manual library.
  • Resell or sublicense access to the Service without a written agreement with us.

7. Intellectual property

The Service, including the curated OEM manual library, retrieval pipeline, and software, is owned by us and our licensors. These terms do not grant you any rights to our trademarks, brand, or underlying technology beyond what is needed to use the Service.

8. Disclaimers & limitation of liability

The Service is provided "as is" and "as available". AI-generated answers may occasionally be incomplete or inaccurate — always verify against the cited source document before acting on safety-critical or commercial decisions (e.g. quoting, equipment sizing, wiring). To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose.

9. Termination

We may suspend or terminate accounts that violate these terms, pose a security risk, or where payment is overdue. You may stop using the Service and cancel your subscription at any time.

10. Changes to these terms

We may update these terms from time to time. Material changes will be communicated by email or an in-app notice before they take effect.

11. Governing law

[DRAFT — confirm governing law / jurisdiction with counsel.]
